DISTANCE SALES AGREEMENT

1. PARTIES

This Distance Sales Agreement ("Agreement") is established electronically between the SELLER, whose information is given below, and the BUYER who makes a purchase through the cherianne.com website.

BUYER, by accepting this Agreement electronically, acknowledges that they will be obligated to pay the price of the ordered product and any shipping, tax and other additional fees, and that they have been informed of this before placing the order.

2. DEFINITIONS

In the application and interpretation of this Agreement, the following terms shall have the meanings indicated opposite them:

  • MINISTER: The Minister of Trade,

  • MINISTRY: The Ministry of Trade,

  • LAW: Law No. 6502 on Consumer Protection,

  • REGULATION: The Regulation on Distance Contracts,

  • SERVICE: Any consumer transaction other than the provision of goods, performed or promised to be performed for a fee or benefit,

  • SELLER: The party offering goods to the consumer within the scope of its commercial or professional activities or acting on behalf of the party offering goods. or the natural or legal person acting on its behalf,

  • BUYER: The natural or legal person who acquires, uses or benefits from a good or service for non-commercial or non-professional purposes,

  • SITE: The cherianne.com website belonging to the SELLER,

  • ORDERER: The person who creates an order to purchase goods or services through the website belonging to the SELLER,

  • PARTIES: The SELLER and the BUYER,

  • CONTRACT: This Distance Sales Contract established between the SELLER and the BUYER,

  • GOODS: The movable property subject to the purchase It refers to the goods.

3. SUBJECT OF THE AGREEMENT

The subject of this Agreement is the sale and delivery of the product(s) ordered by the BUYER electronically through the cherianne.com website belonging to the SELLER, with the characteristics and sales price specified, and the determination of the rights and obligations of the parties.

The prices listed and advertised on the website are sales prices. Advertised prices are valid until updated or changed. Prices advertised for a limited time are valid until the end of the specified period.

7. INFORMATION ABOUT THE PRODUCT(S) SUBJECT TO THE AGREEMENT

7.1. Basic Features

The basic features of the product(s) subject to the agreement, including product name, brand, model, color, size, quantity, and similar information, are presented to the BUYER on the product page and order summary screen of the cherianne.com website.

The BUYER reviews the basic features of the product before confirming their order.

7.2. Prices

The sales price of the products is the price shown to the BUYER on the cherianne.com website during the ordering process.

Campaigns and discounts related to product prices are subject to the relevant campaign conditions.

7.3. Taxes and Payments

The sales price of the product subject to the contract, including taxes, is shown to the BUYER when the order is created.

The BUYER pays the total amount shown to him/her during the order using the electronic payment method.

The invoice is issued based on the invoice information provided by the BUYER during the order.

The sales invoice is sent electronically as an e-invoice/e-archive invoice to the e-mail address provided by the BUYER during the order or via an electronic method compliant with the legislation.

The BUYER is responsible for any problems arising from providing incorrect or incomplete invoice information.

9. GENERAL PROVISIONS

9.1. Information and Acceptance

The BUYER acknowledges, declares, and undertakes that they have read and are aware of the information regarding the basic characteristics of the product subject to this contract, the sales price, the payment method, delivery, and other preliminary information on the cherianne.com website, and that they have given the necessary approval electronically.

This Agreement is established upon the BUYER's electronic confirmation of the order.

9.2. Delivery Time

The product subject to this contract will be prepared and shipped as soon as possible after the order is confirmed, without exceeding the legal delivery period of 30 days, depending on the nature of the product, stock availability, and delivery address.

The SELLER will exercise due diligence to deliver the product within the legal 30-day period.

Incidents beyond the control of the SELLER;

In case of delays caused by force majeure events such as natural disasters, war, epidemics, transportation problems, customs procedures, official authorities' actions, and similar events, the provisions of the current legislation shall apply.

9.3. Shipping and Delivery

For orders within Turkey, PTS cargo/logistics services can be used.

Unless otherwise stated in the campaign conditions, the shipping fee is paid by the BUYER.

Free shipping campaigns are subject to the campaign conditions determined by the SELLER.

The delivery process begins when the product is sent to the delivery address specified by the BUYER.

The BUYER is responsible for delivery problems arising from providing an incorrect or incomplete address.

10. RIGHT OF WITHDRAWAL

The BUYER has the right to withdraw from the contract within 14 days from the date of delivery of the product to him/her or to a third party designated by him/her, without giving any reason and without paying any penalty, if the distance contract relates to the sale of goods.

To exercise the right of withdrawal, it is sufficient to send a clear withdrawal notice to the SELLER within the 14-day period.

If the right of withdrawal is exercised, the product must be returned to the SELLER.

11. CASES WHERE THE RIGHT OF WITHDRAWAL CANNOT BE EXERCISED

In cases where the right of withdrawal cannot be exercised, the provisions of Law No. 6502 and the Regulation on Distance Contracts shall apply.

In particular;

  • For products prepared in accordance with the consumer's requests or personal needs,

  • After the expiration of the withdrawal period,

  • For products whose return is not suitable for health and hygiene reasons, if the protective elements of the product such as packaging, tape, seal or package have been opened within the scope of the relevant legislation,

  • For other goods and services regulated as exceptions to the right of withdrawal in the legislation,

The right of withdrawal cannot be exercised.

For underwear products, if the product's nature is unsuitable for health and hygiene reasons, The right of withdrawal cannot be exercised in cases where the return is not appropriate and if the protective packaging/tape/seal stipulated in the legislation has been opened.

This clause does not eliminate the consumer's rights regarding defective goods and other legal rights arising from the law.

12. RETURN CONDITIONS AND RETURN SHIPPING COSTS

If the BUYER exercises their right of withdrawal, the product must be returned.

For returns within Turkey, the shipping costs and return shipping conditions related to the right of withdrawal are applied according to the provisions of the current legislation and the return procedure notified to the BUYER by the SELLER.

For international orders, the return shipping costs related to sending the product to the SELLER due to withdrawal or return are the responsibility of the BUYER.

Customs, taxes, reshipment and similar costs that may arise in international returns may be the responsibility of the BUYER according to the relevant legislation and the nature of the order.

In cases of defective products, incorrect product shipment or situations arising from the fault of the SELLER, the BUYER's rights arising from the current legislation are reserved.

13. REFUND If the right of withdrawal is exercised in accordance with the procedure, the product price will be refunded to the BUYER within the time and conditions stipulated in the current legislation. The refund process will be carried out, as far as possible, in accordance with the payment method used for the payment. For payments made through iyzico, the refund will be processed within the framework of iyzico's payment and refund procedures. In case of discrepancies arising from exchange rates, banks, payment institutions, or international payment transactions during the refund process for international orders, the provisions of the current legislation will apply.

14. DEFECTIVE AND FAULTY PRODUCTS

If the product received by the BUYER is defective, different from the ordered product, or there is an error caused by the SELLER, the BUYER's optional rights arising from the Law No. 6502 on Consumer Protection and related legislation are reserved.

15. DEFAULT AND LEGAL CONSEQUENCES

If the BUYER makes payment transactions using credit cards or other electronic payment methods, the terms of the contract between the payment institution or bank and the BUYER shall apply.

In case the BUYER fails to fulfill its payment obligation, the rights of the relevant payment institution and bank arising from their own contracts and applicable legislation are reserved.

In case the SELLER fails to fulfill its delivery obligation, the provisions of applicable consumer legislation shall apply.

16. PERSONAL DATA

Personal data shared by the BUYER during the order process; Personal data may be processed in accordance with the applicable legislation on the protection of personal data for the purposes of receiving orders, making payments, preparing and delivering products, invoicing, customer service, after-sales operations and fulfilling legal obligations.

17. INTERNATIONAL ORDERS

For sales made abroad by Cherianne, products are shipped from Türkiye.

Delivery time for international orders; This may vary depending on the country, transportation conditions, customs procedures, and the relevant country's legislation.

The BUYER may be responsible for customs duties, import taxes, fees, and similar public obligations that may be applicable in the country of delivery.

Delays that may occur due to customs procedures are considered force majeure or within the scope of the relevant legislation regarding delivery delays to the extent that they occur outside the control of the SELLER.

In international orders, the shipping and transportation costs for sending the products that need to be returned to the SELLER are borne by the BUYER unless otherwise stipulated in the legislation.

In international sales, the consumer's rights arising from the mandatory consumer law provisions of the country where they are located are reserved.

18. FORCE MAJEURE

Natural disasters, war, epidemics, fires, floods, earthquakes, strikes, transportation and logistics disruptions, customs procedures, decisions of official authorities, and similar situations that occur outside the control of the parties and prevent the fulfillment of the obligations under the contract are considered force majeure.

In cases of force majeure, the provisions of the current legislation shall apply.

19. AUTHORIZED AUTHORITIES

In consumer disputes that may arise from this Agreement, applications may be made to Consumer Arbitration Boards or Consumer Courts within the monetary limits determined under the current legislation.

The consumer's right to apply to the authorized authorities arising from the law is reserved.

20. EFFECTIVE DATE

The BUYER acknowledges and declares that before placing an order and completing the payment process through the cherianne.com website, they have read this Agreement and the preliminary information regarding the order, and that they are aware of the basic characteristics of the product, the sales price, the payment method, delivery, the right of withdrawal, and other terms.

This Agreement shall be deemed established and enter into force upon the BUYER's electronic confirmation of the order and completion of the payment.
